Cadence Acquires Hexagon Design & Engineering

Proceeds will support debt reduction and acquisitions as Hexagon sharpens focus on precision measurement, positioning and robotics solutions

STOCKHOLM, Sweden, Feb 23, 2026 – Hexagon AB has completed the previously announced sale of its Design & Engineering business (D&E) to Cadence Design Systems for approx. 2.7 billion EUR in cash and Cadence stock.

The transaction aligns with Hexagon’s portfolio strategy to focus on its precision measurement, positioning and robotics businesses, including related software. The divestiture narrows the company’s technology portfolio following the sale.

Hexagon plans to use the proceeds for general corporate purposes, including potential debt reduction and future acquisitions aligned with long-term growth strategies at Hexagon and Octave. If approved, Octave remains on track for separation in the first half of 2026.

In 2024, D&E generated approximately 265 MEUR in revenue within Hexagon’s Manufacturing Intelligence business area and operated at a profitability level above the group average.
